AFM Farmers’ Coalition Agreement and Consent
This Farmer Coalition Agreement (“Agreement”) is made and entered into by and between The Artisan Farmers Market (“Market”) and the undersigned farmer (“Member”), collectively referred to as the “Parties.” This Agreement establishes the terms for participating in the online marketplace, multi-vendor delivery system, and ensuring compliance with all Texas laws.
1. PURPOSE
The purpose of this Agreement is to formalize participation in The AFM Coalition, ensuring a collaborative system for the sale and delivery of farm-fresh products to consumers while complying with all applicable Texas laws and regulations.

2. MEMBERSHIP REQUIREMENTS
To become a Member of the AFM Coalition, the following requirements must be met:
- The Member must be a legally registered farm or food producer in Texas.
- The Member must adhere to all food safety and agricultural laws set forth by the Texas Department of Agriculture (TDA) and Texas Health and Human Services (HHS).
- The Member agrees to pay applicable membership fees.
3. PRODUCT QUALITY AND SAFETY
- All products sold through the Market must meet Texas food safety standards, including proper handling, packaging, and labeling.
- The Member is responsible for obtaining any necessary licenses, certifications, or permits required to sell their products.
- Any perishable products must comply with Texas regulations for transportation and storage.
4. SALES AND ORDER PROCESSING
- The Market provides an online platform for Members to list their products, set prices, and receive customer orders.
- Members agree to accurately describe products and fulfill orders in a timely manner.
- Payments will be processed through the Marketโs online system, with a designated percentage allocated to the Market for operational and logistical support.
5. MULTI-VENDOR DELIVERY SYSTEM
- The Market operates a shared delivery system to facilitate the efficient distribution of products to customers.
- Members agree to participate in the delivery system by either:
a) Coordinating with designated Market representative
b) Contributing to a shared delivery network with other farmers, including regional drop-off points. - Members must adhere to transportation and handling regulations for food products during delivery.
6. COMPLIANCE WITH TEXAS LAWS
- Members must comply with all relevant Texas state and local laws governing agricultural sales, food handling, and direct-to-consumer distribution.
- Any disputes regarding compliance may result in suspension or termination from the Market.
- The Market reserves the right to update policies in response to changes in Texas law, and Members must adhere to such updates.
7. LIABILITY AND INDEMNIFICATION
- Each Member is responsible for the safety and quality of their products.
- The Member agrees to indemnify and hold harmless The Artisan Farmers Market, its officers, directors, and employees from any claims related to their products, sales, or deliveries.
- The Market shall not be held liable for any loss, damage, or claims arising from the Memberโs participation.
- The coalition and its members do not assume liability for another vendorโs products.
- Any disputes related to product quality must be resolved between the customer and the vendor who produced the item.
8. TERM AND TERMINATION
- This Agreement is effective upon signing and shall remain in effect until terminated by either Party with a 30-day written notice.
- The Market reserves the right to terminate a Memberโs participation if they fail to comply with this Agreement.
9. DISPUTE RESOLUTION
- Any disputes shall first be resolved through mediation between the Parties. If unresolved, disputes shall be governed by the laws of the State of Texas and subject to jurisdiction in Texas courts.
